1. Contract Details

This contract is valid for FRESH transported semen from WIDAD DE CARTHEREY (FA EL Rasheem x Maya AS).
Concluded on: ____ by ___, 202 by Anaïs El Arab BV (Obi Training Center), Helchterensedijk 6, 3990 Peer, Belgium, hereinafter referred to as Stallion Agent and the following parties hereinafter referred to as Mare Owner:

Note: Please attach a copy of the horse passport or registration certificate of the mare.

2. Conditions

Non-transferable: The breeding rights may not be sold or transferred.
Sale on request: In the event of an unfortunate incident, the sale request can be directed to the stallion agent, who will make the decision.

3. Fees

Cover fee: 2,000 € (plus 6% VAT).
Payment terms:
- Payment is due upon signing the contract.
- Full payment required before shipping the semen.
- All bank charges are borne by the mare owner.
Shipping costs:
- Mare owner bears all shipping and semen handling costs.
- No semen will be shipped before the full payment has been received.

4. Covering Conditions

Breeding right:
- Contract entitles to one covering per registered mare.
- One covering certificate per mare.
Non-pregnancy:
- If the mare is not pregnant within 3 estrous cycles not pregnant:
  - Stallion agent may require an examination or biopsy.
  - Stallion agent may refuse service in case of infectious or contagious diseases.
  - Mare owner must provide another mare as a replacement.
Right to Rebreed:
- Valid only for the subsequent breeding season.
- Replacement mare must be approved by the stallion agent.
Notification of Non-Pregnancy:
- Mare owner must inform the stallion agent within 60 days after the end of the season in writing.
- Failure to Notify: Leads to nullification of the live foal guarantee and breeding rights.

5. Live Foal Guarantee

Right to Rebreed:
- If no live foal (defined as a foal that stands and nurses unassisted for 24 hours) results, a right to rebreed is granted.
Death of the Foal:
- If the foal is stillborn or dies within 24 hours:
  - Veterinary confirmation with time of birth and death must be submitted within two weeks.

6. Fresh Semen

Condition and Responsibility:
- Stallion agent provides semen but assumes no guarantee for its condition after leaving the warehouse.
Shipping Approval:
- Semen is only shipped with prior approval of the stallion agent.
Responsibility of the Mare Owner:
- Storage, handling, and insemination are the responsibility of the mare owner.
Non-transferable:
- Breeding rights and doses are non-transferable and may not be resold.

7. Notification

Written Notice:
- Notifications must be made by registered mail with return receipt.
- To the address of the mare owner specified in the contract.

8. Regulations and Requirements

Responsibility of the Mare Owner:
- Compliance with all regulations of breeding associations or authorities.
- Procurement of all permits and assumption of taxes or duties for the semen transport from Belgium.

9. Applicable Law, Jurisdiction, and Venue

Applicable Law: Belgian law.
Jurisdiction:
- Disputes will be heard before the Commercial Court of Antwerp (Hasselt Division).

10. Liability Disclaimer

Indemnification:
- Anaïs El Arab BV (stallion agent) and its employees are not liable for illnesses, injuries, theft or damages to the mare, foal, or semen during the breeding period.

11. Entire Agreement

Amendments:
- This contract constitutes the complete agreement.
- Amendments are only valid in writing and with consent of both parties.
