SALE CONTRACT FOR STALLION SEMEN

This sale contract for stallion semen is entered into on ________________ (Effective Date) between:

AL SHAQAB, a member of Qatar Foundation, P.O. Box 90055, Doha–Qatar (hereinafter referred to as the “STALLION OWNER”), represented by Mr. Khalifa Al Attiya, CEO of AL SHAQAB,

hereinafter referred to as the “MARE OWNER.”

STALLION OWNER and MARE OWNER are hereinafter collectively referred to as the “Parties” or individually as a “Party.”

Preamble

WHEREAS, the STALLION OWNER holds ownership rights to the stallion identified below and is the owner of the semen of the stallion identified below:

hereinafter referred to as the “STALLION.”

WHEREAS, the MARE OWNER holds ownership rights to the mare identified below:

hereinafter referred to as the “MARE.”

WHEREAS, the MARE OWNER is willing to purchase semen of the STALLION from the STALLION OWNER.

The following terms and conditions shall apply to the transfers described above:

1. Entire Agreement

The foregoing preamble, as well as all attached exhibits (if any), are essential parts of this sale contract for breeding.

2. Fees

2.1 The stud fee for the semen of the STALLION shall be hammer price in the Aachen auction for 1 breeding EURO

This stud fee entitles the MARE OWNER to up to two (02) insemination doses of semen (with a total of 16 straws, each straw containing 0.5 ml), with no entitlement to further insemination doses in the event of non-pregnancy.

2.2 The full stud fee for the STALLION is payable upon signing this contract.

2.3 In the event of non-pregnancy, up to four (04) additional insemination doses may be purchased. Each dose (8 straws, each straw containing 0.5 ml) costs an additional USD/EURO 250.00 per each additional insemination dose.

2.4 All amounts paid by the MARE OWNER are non-refundable, subject to the provisions of this contract regarding breeding or availability of semen.

2.5 In addition, the following fees apply to the MARE OWNER and must be paid before the semen is shipped:

2.6.1 A refundable deposit for the shipping container. This fee may vary depending on the semen storage/shipping facility. The STALLION OWNER shall provide the MARE OWNER with the contact details of the storage/shipping facility. However, the MARE OWNER is responsible for contacting the semen storage/shipping facility, requesting the services, and paying the applicable fees.

2.6.2 These fees may vary depending on the semen storage/shipping facility.

2.6.3 International handling/administrative fees. This fee is also payable to the semen storage/shipping facility and may vary. It includes processing the documents with the USDA and other authorities as well as preparation of the health certificate.

3. Insemination Dose

The STALLION OWNER has the right to determine the number of straws per insemination dose depending on post-thaw motility. This may be higher or lower than the standard value, which is usually calculated as 8 straws “of 0.5 ml each” per insemination dose, with at least 600 million sperm cells and post-thaw motility of 30% or more.

4. Live Foal Guarantee

A “Live Foal” means a single live-born foal that stands and nurses unassisted for a period of at least twenty-four (24) hours after birth.

Provided that the receiving party has not breached any provision of this contract, the STALLION OWNER grants the MARE OWNER a limited right to rebreed within the breeding season of first use per mare or, where applicable, in the following breeding season.

5. Breeding Season

Breeding Season” means a period of eight calendar months from first use.

6. Limitations and Restrictions

6.1 Signing this contract entitles the MARE OWNER to inseminate one mare per contract.

Insemination of more than one mare constitutes a breach of the terms of this contract and may possibly result in the mare owner being unable to register offspring.

Once a successful pregnancy has been achieved, no further unused/excess semen may be used to inseminate additional mares. Any additional use constitutes a breach of this contract.

The MARE OWNER must obtain further written authorization before using unused/excess semen, as evidenced by a new and fully executed contract, and all additional fees must be paid in advance.

The STALLION OWNER does not guarantee that additional coverings will be available beyond this contract.

A successful pregnancy is defined as a 60-day pregnancy confirmed by a veterinarian. The MARE OWNER shall, upon request, provide the STALLION OWNER with the veterinary certificate confirming the 60-day pregnancy.

6.2 The quantity of unused excess semen straws, if any remain after the covering, shall remain the property of the STALLION OWNER.

The MARE OWNER undertakes to inform the STALLION OWNER at the end of the breeding season, in accordance with the terms of this contract, about any such unused excess semen straws.

If a live foal has been produced, the MARE OWNER shall send this unused semen of the STALLION, at the expense of the STALLION OWNER, to a location designated by the STALLION OWNER.

6.3 In addition to the further conditions set out below, the limited right to re-cover under this provision is expressly subject to the condition that the MARE is vaccinated against rhinopneumonitis in the fifth, seventh, and ninth month of pregnancy.

(This clause shall not apply if a veterinary certificate is provided confirming that the rhinopneumonitis virus does not occur in the country where the breeding activities take place.)

6.4 The limited right to re-cover under this provision shall become void, and the STALLION OWNER shall have no further obligations to the MARE OWNER under this article, if any of the following events occurs:

6.4.1 The MARE OWNER fails to provide the vaccination certificate against rhinopneumonitis.

(This clause shall not apply if a veterinary certificate is provided confirming that the rhinopneumonitis virus does not occur in the country where the breeding activities take place.)

6.4.2 Each breeding service includes a limited live foal guarantee. The limitation is that the MARE OWNER may use the breeding service again in the following breeding season if the MARE dies during pregnancy, the foal is aborted prematurely, or the foal dies within 24 hours after birth.

In every case, the MARE OWNER must provide a veterinarian-certified document within 7 days of the abortion or death.

After an additional covering under this provision, there shall under no circumstances be any further right to re-cover with the STALLION, any entitlement to a refund, or any further obligation of the STALLION OWNER toward the MARE OWNER.

6.4.3 The MARE is covered by another stallion before the re-covering without the written consent of the STALLION OWNER.

6.4.4 The MARE is replaced by another mare without the written consent of the STALLION OWNER.

6.4.5 The pregnant MARE or the transferred embryo resulting from this agreement is sold, given away, or donated by the MARE OWNER.

6.5 The MARE OWNER may not assign the rights under this agreement to third parties in accordance with the terms of this agreement.

7. Breeding

The STALLION OWNER reserves the right to require a bacteriological examination or biopsy to determine breeding suitability in the case of a MARE that has not become pregnant within three estrus cycles.

The STALLION OWNER also reserves the right to refuse or discontinue care of the MARE if it is determined that the MARE suffers from an infectious and/or contagious disease or if any other applicable reason exists.

In the event of such discontinuation of care, the MARE OWNER is obligated to use another mare in order to fulfill the terms of this agreement.

8. Semen

The STALLION OWNER shall provide semen from the STALLION designated in this agreement and assumes no further warranty for the condition of the semen after it has left the semen storage/shipping facility.

The MARE OWNER is responsible for sending a request for shipment of the semen to the semen storage/shipping facility and for contacting the STALLION OWNER to obtain shipping authorization.

No semen will be shipped by any semen storage/shipping facility without the authorization of the STALLION OWNER. Shipping authorizations are granted exclusively Sunday through Thursday during business hours.

The MARE OWNER is responsible for the proper handling, storage, and insemination of the semen into the MARE.

9. Availability of Semen

If the semen becomes unavailable due to unavailability, loss, or unforeseen circumstances before the MARE has been inseminated for the first time under this agreement, this agreement shall be terminated and the STALLION OWNER shall refund the portion of the stud fee paid by the MARE OWNER, less the booking fee, the cost of the doses received, and any other outstanding fees.

If the semen becomes unavailable due to unavailability, loss, or unforeseen circumstances after the insemination of the MARE, the STALLION OWNER shall refund the portion of the stud fee paid by the MARE OWNER, less the booking fee, the cost of the doses received, and any other outstanding fees.

10. Unused Semen Doses

Upon full performance of this agreement or upon its termination, the MARE OWNER shall inform the STALLION OWNER of the existence of unused semen doses from the stallions.

The STALLION OWNER shall then arrange for the proper return or other disposition of this semen at the expense of the STALLION OWNER.

11. Release of Liability

The MARE OWNER expressly acknowledges that the STALLION OWNER and the semen storage/shipping facility make neither an express nor an implied warranty as to the fertility of the semen provided.

12. Assignment

The parties may not assign their rights or obligations under this agreement without the prior written consent of the other party.

13. Amendments

No amendment to the terms of this agreement shall be binding unless made in writing and signed by both parties.

This agreement may not be altered or supplemented in any respect unless there is a written document signed by both parties.

14. Term and Termination

The agreement shall remain valid until a live foal has been produced or the terms of the limited live foal guarantee have been exhausted.

15. Confidentiality

The terms of this agreement shall be treated as confidential between the parties and their respective representatives and may not be disclosed to third parties.

16. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Qatar.

Any disputes arising out of or in connection with this agreement shall first be settled through negotiations between the parties. The parties shall use their best efforts to resolve all issues.

If the parties are unable to reach an agreement, either in whole or in part, either party may, upon written notice and within twenty-eight (28) days, refer the matter to the courts of the State of Qatar. These shall have jurisdiction and their decision shall be final.

This agreement may be executed in multiple counterparts, by fax, email, or with original signatures, each of which shall have the same full legal effect as a single original document.

This agreement and each and every one of its provisions shall be binding upon and inure to the benefit of the parties and their heirs, legal successors, and assigns.
